By accessing or using the website and services provided by Dexterity Security LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.
Dexterity Security LLC provides penetration testing, security assessment, and related cybersecurity consulting services. All services are performed under a separate Statement of Work (SOW) or engagement agreement that specifies the scope, timeline, deliverables, and pricing for each engagement.
All penetration testing and security assessment engagements are governed by a signed Statement of Work (SOW) between Dexterity Security LLC and the client. No testing will commence without a fully executed SOW and proper authorization from the client. The SOW will detail:
The client represents and warrants that they have the legal authority to authorize penetration testing on the systems, applications, and networks specified in the SOW. The client is responsible for obtaining any necessary third-party authorizations (e.g., cloud provider approvals). Dexterity Security LLC will not perform testing on any systems without explicit written authorization.
Dexterity Security LLC will treat all client information, test results, and deliverables as confidential. We will not disclose any findings, vulnerabilities, or client data to third parties without the client's prior written consent, except as required by law. We expect a mutual Non-Disclosure Agreement (NDA) to be in place prior to any engagement.
While Dexterity Security LLC exercises professional care in performing security assessments, penetration testing inherently involves techniques that may cause service disruptions. To the maximum extent permitted by law:
Upon full payment, the client receives ownership of all deliverables (reports, documentation) produced during the engagement. Dexterity Security LLC retains the right to use general methodologies, tools, and knowledge gained during engagements, provided that no client-specific confidential information is disclosed.
Payment terms will be specified in the SOW for each engagement. Unless otherwise agreed, invoices are due within 30 days of issuance. Late payments may be subject to a 1.5% monthly interest charge. Dexterity Security LLC reserves the right to suspend services for overdue accounts.
Dexterity Security LLC warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. However, no security assessment can guarantee the identification of all vulnerabilities. Our services provide a point-in-time assessment and do not constitute an ongoing security guarantee.
The client agrees to indemnify and hold harmless Dexterity Security LLC from any claims, damages, or expenses arising from: (a) the client's failure to obtain proper authorization for testing; (b) the client's misuse of testing results or deliverables; or (c) the client's violation of any applicable laws or regulations.
These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Wisconsin.
Dexterity Security LLC reserves the right to update these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of our services after changes constitutes acceptance of the revised Terms.
